Welcome to Alpha Centauri Investment Strategies Inc. ("ACIS," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our AI model portfolio information service, including our web platform and REST API (the "Services"). ACIS publishes AI-generated model portfolios for informational purposes only. We do not provide personalized investment advice or manage individual portfolios.

Account Terms

• •You must be at least 18 years old to use our Services
• •You must provide accurate, complete, and current information during registration
• •You are responsible for maintaining the security of your account and API keys
• •You are responsible for all activity that occurs under your account
• •One person or legal entity may not maintain more than one free account
• •You may not use our Services for any illegal or unauthorized purpose

API Usage & Rate Limits

Your use of the ACIS API is subject to the following:

• •Rate Limits: ACIS Professional subscription includes 10,000 API calls per month
• •API Keys: You must use valid API keys for authentication. Do not share or expose your keys publicly
• •Fair Use: Do not abuse, overload, or harm our infrastructure. We reserve the right to throttle excessive usage
• •Caching: You may cache API responses for reasonable periods (max 24 hours for real-time data)
• •Redistribution: You may not resell or redistribute our data without explicit written permission

Acceptable Use Policy

You agree NOT to use our Services to:

• Violate any local, state, national, or international law
• Infringe on intellectual property rights of ACIS or third parties
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent any security features or access controls
• Transmit malware, viruses, or harmful code
• Scrape, spider, or harvest data beyond your API allocation
• Impersonate any person or entity, or falsely claim an affiliation
• Use our Services to provide competing services or build a similar product

Payment & Billing

• •Pricing: Current pricing is available at acis-trading.com
• •Billing Cycle: Subscriptions are billed monthly or annually in advance
• •Payment Methods: We accept credit cards, debit cards, and ACH (via Stripe)
• •Auto-Renewal: Subscriptions automatically renew unless you cancel before the renewal date
• •Failed Payments: If payment fails, we may suspend or terminate your access
• •Refunds: We offer a 90-day money-back guarantee. After 90 days, fees are non-refundable
• •Price Changes: We may change prices with 30 days' notice. Changes apply to subsequent billing periods
• •Taxes: You are responsible for all applicable sales, use, and excise taxes

Cancellation & Termination

Your Rights

• •You may cancel your subscription at any time from your account dashboard
• •Cancellation takes effect at the end of your current billing period
• •You will retain access to your account until the end of the paid period
• •Upon cancellation, your data will be deleted within 90 days unless you export it

Our Rights

• •We may suspend or terminate your account for violation of these Terms
• •We may terminate accounts that remain inactive for 12+ months
• •We may discontinue the Services with 90 days' notice (with pro-rated refund)

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• •Warranties of merchantability, fitness for a particular purpose, or non-infringement
• •Warranties that the Services will be uninterrupted, error-free, or secure
• •Warranties regarding the accuracy, completeness, or reliability of our data or models

We make commercially reasonable efforts to maintain 99.9% uptime, but we do not guarantee availability.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• •ACIS shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• •This includes loss of profits, revenue, data, or investment losses arising from your use of our Services
• •Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim
• •Some jurisdictions do not allow limitation of liability, so these limits may not apply to you

Intellectual Property

All content, features, and functionality of our Services are owned by ACIS and protected by copyright, trademark, and other intellectual property laws.

• •License: We grant you a limited, non-exclusive, non-transferable license to use our Services
• •Restrictions: You may not copy, modify, distribute, or create derivative works without permission
• •Your Data: You retain ownership of data you input. We may use anonymized data for analytics and model training

Dispute Resolution

If you have a dispute with ACIS:

• •Informal Resolution: First contact us at support@acis-trading.com to resolve informally
• •Arbitration: If unresolved, disputes will be settled by binding arbitration (not court)
• •Class Action Waiver: You agree to arbitrate disputes individually, not as a class action
• •Governing Law: These Terms are governed by the laws of the State of California, USA

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 30 days in advance. Continued use of our Services after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your account.
